# Interface terms of use

Terms version: 2026-10-15.1.

## Provider and scope

JPYdf Foundation DAO LLC (the “Foundation”) provides a user app for accessing JPY DeFi. These terms apply to the user app at `app.jpydf.com` and test apps identified as provided by the Foundation. The Foundation is responsible for providing the app as described in these terms. Its contractual service obligations under these terms are limited to the app-provider obligations expressly stated here, subject to the rights and responsibilities preserved below.

The Foundation permits non-exclusive use of the app without an app access fee, subject to these terms. Network fees and protocol costs may apply separately to interactions with contracts.

## Eligibility and language

The app and all services provided through it are unavailable to Restricted Persons. This restriction applies to every feature, including redemption, shutdown redemption, borrowing, repayment, collateral management, withdrawals, Stability Pool participation, staking and referral registration.

### Restricted jurisdictions

The following countries and territories are excluded from the Foundation’s app (the “Restricted Jurisdictions”). The geographic scope of each exclusion is shown in the table.

| Country or territory | Geographic scope excluded from the app |

The Foundation will publish changes to this list and their effective timing here. A change to its geographic scope requires a new terms version and renewed confirmation before another wallet action. Restrictions imposed by applicable law take effect when the law requires, even if this page has not yet been updated. Being outside this list does not override the Restricted Person exclusions below.

### Restricted persons

“Restricted Persons” means:

* Individuals residing or located in a Restricted Jurisdiction.
* Organizations established under the laws of, or with their principal place of business in, a Restricted Jurisdiction.
* Persons listed on the [UN Security Council Consolidated List](https://main.un.org/securitycouncil/en/content/un-sc-consolidated-list), designated under Marshall Islands domestic sanctions, or listed on the [U.S. OFAC Specially Designated Nationals and Blocked Persons List](https://ofac.treasury.gov/specially-designated-nationals-list-data-formats-data-schemas). Entities covered by the relevant sanctions' ownership or control rules are also excluded, even if not individually named on a list.
* Any other person to whom the Foundation is prohibited from providing the app under sanctions applicable to it or its provision of the app, wherever located.
* Persons acting on behalf of or for the benefit of any of the above.

Nationality, an IP address or a wallet address alone does not establish eligibility. Being outside a Restricted Jurisdiction does not make a resident of that jurisdiction eligible.

### Common confirmation

Before requesting a wallet signature or transaction, you must review the [excluded countries and territories](#restricted-jurisdictions) and Restricted Person definition, then select the checkbox to accept these terms and confirm that you are not a Restricted Person and are not acting on behalf of or for the benefit of one. This common confirmation applies to all features, including approvals and referral signatures. The app remembers confirmation of the current terms in your browser; reloading the page does not require renewed confirmation. A material change requires confirmation of the updated version before another wallet action. You must stop using the app if you cease to be eligible. Do not misrepresent your residence, location or eligibility, or use a VPN, proxy, intermediary or other means to evade these restrictions.

This confirmation is your declaration; it does not establish that the Foundation has verified your identity, residence or sanctions status. The Foundation may refuse or suspend access or support when it reasonably identifies ineligible use. The ability to load the app or documentation does not establish eligibility to use the app.

The app, its documentation and user support are provided in English only. The Foundation does not offer Japanese-language displays or support, or market the app to Restricted Persons. These restrictions do not waive mandatory legal rights or prevent the handling of privacy requests or security reports.

## The app and the protocol

The app displays information from public contracts and prepares transaction data for operations selected by the user. Users review the data and sign with their own wallets. Transactions are processed under the contract rules in effect at the time.

Through this app, the Foundation does not receive users' assets, execute transactions on their behalf or approve individual transactions. It does not hold users' private keys or protocol control powers. It does not restrict access to public contracts through other interfaces.

These terms do not appoint the Foundation as your agent, custodian, investment manager or trustee, or create an agreement for it to manage or recover underlying assets for you.

## Borrowing positions

Redemption is a contract function that lets anyone holding JPYdf exchange it for collateral taken from Troves, calculated at a reference of ¥1 per JPYdf before fees. Within each branch, normal redemption starts from the Troves with the lowest interest rates, regardless of collateral ratio, and reduces the debt and collateral of the Troves it reaches. Urgent redemption after a branch shutdown does not follow this order. A Trove whose collateral ratio falls below the minimum collateral ratio (MCR) becomes subject to liquidation, and debt that the Stability Pool cannot offset is redistributed with collateral to the other Troves in the same branch. Redemption, liquidation and redistribution are executed under the contract rules without asking for your consent each time. The prices they use can differ from market prices.

If you open or manage a Trove through the app, you confirm that you understand these mechanisms, explained in [Redemptions](/jpy-defi/borrowing-and-trove-management/redemptions.md) and [Liquidations](/jpy-defi/borrowing-and-trove-management/liquidations.md), and accept that they can reduce, change or close your position at a time and price you did not choose. Suggested rates, redemption risk levels and the debt shown as redeemable before yours are estimates from current data; they do not mean that your Trove will not be redeemed.

Interest rate delegates, including Batch Managers, are third parties you choose. Listing a delegate in the app is not an endorsement, and delegating does not protect you from redemption.

Redemptions, liquidations and redistributions are carried out by those who call them, at their own discretion. The Foundation does not undertake to prevent, reverse or compensate for them, or to restore your position. These terms create no such obligation for any other person.

## Stability Pool and dToken positions

Stability Pool balances, allocations of JPYdf and liquidation collateral, and dToken withdrawals depend on contract records and execution conditions. References to claims, withdrawals, nominal conversion amounts or estimated returns describe those mechanisms; they do not establish contractual payment or delivery obligations of the Foundation.

The Foundation does not undertake to repay Stability Pool deposits, pay rewards, deliver liquidation collateral, redeem dTokens at par or cover shortfalls. These terms also do not establish such obligations with recourse limited to assets held in the protocol.

Review the [Stability Pool](/jpy-defi/stability-pool/earn.md) and [dToken](/jpy-defi/collateral-and-pricing/dtoken.md) explanations before participating. External strategies, available liquidity, backing, waiting periods, pauses and the exercise of protocol authority can prevent receipt when requested or in full. Describing these conditions does not create a commitment by the Foundation to secure a withdrawal or recovery.

## Checks before use

Before signing, check the network, destination, asset, amount, approval recipient, fees and resulting position. Displays may be affected by connection failures, delayed updates or errors in third-party data. The Foundation cannot reverse submitted or confirmed transactions.

Available features and conditions depend on contract state and app configuration. Users must comply with applicable laws and restrictions displayed in the app. Test-app assets and displays do not represent the value of, or rights to, production assets.

## Risks and responsibility

Falling collateral prices, liquidation, redemption, withdrawal queues, changes in the price of JPYdf, and failures of contracts, oracles or external strategies can cause losses or prevent operations. Read the [risk disclosure](/jpy-defi/risks/risk-disclosure.md). Estimates do not guarantee future receipts, returns or successful transactions.

The Foundation does not guarantee continuous app availability, the accuracy of external data or protocol outcomes. These terms do not exclude or limit the Foundation's liability for its own conduct under applicable law, duties or user rights that cannot lawfully be excluded, or legal remedies arising from another person's conduct. They do not extinguish rights under a separate agreement already in existence.

## Prohibited use

Do not gain unauthorized access, bypass authentication or security controls, disrupt operations through excessive requests, impersonate others, submit false reports, obtain secret information unlawfully or infringe third-party rights. Do not include private keys or credentials in vulnerability reports.

## Changes and suspension

The Foundation may change or suspend app features or access for maintenance, incident response, security or compliance with law. Where possible, it will explain the affected features and user impact through the app or official announcements. Suspending the app does not change on-chain balances or rights, and does not guarantee completion of on-chain operations or the availability of alternative interfaces.

The Foundation may amend these terms by publishing an updated version on this page. An updated version takes effect when published unless it states a later effective date. The Foundation will also carry out any notice or consent procedures required by applicable law. If you continue to use the app after an updated version takes effect, you are deemed to have accepted it. If you do not accept it, stop using the app. Browsing or navigating the app does not count as consent to analytics cookies.
